1. Introduction

Welcome to Verified Vendor ("we", "our", or "us"). These Terms and Conditions ("Terms") govern your use of our platform, located at www.verifiedvendor.com.ng, including any services, features, or tools provided therein.

By registering as a vendor or using our services as a buyer or visitor, you agree to abide by these Terms. If you do not agree with any part of these Terms, kindly do not use our platform.

2. Definitions

Vendor: A registered business or individual offering products for sale on Verified Vendor.
User/Buyer: Any individual browsing or purchasing products on the platform.
Account: The profile created by a vendor or buyer on our platform.
MVP: Minimum Viable Product; this indicates that some features may still be under development or subject to future changes.

3. Vendor Registration & Eligibility

You must be at least 18 years old to register as a vendor.
Vendors are required to provide valid business or personal identification during onboarding.
We reserve the right to request Know-Your-Customer (KYC) verification before or after vendor approval.
Vendors are solely responsible for keeping their login credentials safe and confidential.

4. Product Listings & Shop Policies

All product listings must include accurate images, prices, descriptions, and estimated delivery timelines.
Vendors are expected to clearly indicate whether a product is handmade, made-to-order, or pre-ordered.
Listings must not include any items that are illegal or violate Nigerian law or community standards.
We reserve the right to remove listings that violate our policies or attract complaints.
Listings must be kept up to date by vendors to reflect current stock and pricing.

5. Order Fulfillment, Shipping & Pickups

The platform currently operates with pickup logistics—vendors are responsible for delivery through third-party options like dispatch riders, Uber, Bolt, etc.
Vendors must confirm and fulfill orders within their stated processing timeline.
All delivery-related communication should be handled promptly between the vendor and buyer.
Verified Vendor is not directly responsible for the delivery process or its execution.

6. Payments, Commission & Refunds

All payments are processed securely through Paystack or other integrated payment gateways.
Verified Vendor deducts a 5% commission from each completed transaction.
The commission is removed automatically before vendor payouts.
Vendors are advised to price products while accounting for commission and delivery costs.
Refunds, if applicable, should be initiated by the vendor. Buyers are encouraged to contact the vendor first for any issues.
Verified Vendor reserves the right to mediate disputes and issue refunds where necessary in cases of fraud or abuse.

7. Vendor Ratings & Reviews

Buyers are allowed to leave reviews and ratings based on their experiences.
Vendors are expected to deliver excellent customer service to maintain positive reviews.
Reviews will not be removed unless they contain abusive, hateful, or illegal content.
Consistently poor ratings may result in vendor suspension or termination.

8. Email Communication & Newsletters

By creating an account or subscribing, users agree to receive transactional emails, notifications, promotions, and newsletters.
Email preferences can be managed via dashboard settings or opt-out/unsubscribe links in emails.
All email collection is opt-in and used strictly for communication related to Verified Vendor.
We comply with international email standards (CAN-SPAM, GDPR principles) to protect users from spam.

9. Data Privacy & KYC Compliance

We handle all personal and business data in accordance with the Nigeria Data Protection Regulation (NDPR).
Information collected is used to verify identities, process transactions, and improve platform services.
We may share vendor data with third-party partners for the purpose of identity verification or fraud prevention—strictly within legal bounds.
Our emails and system use encrypted channels (TLS) and are authenticated with SPF and DKIM.

10. Platform Use & Restrictions

You agree not to:

Sell or promote counterfeit, stolen, or illegal goods.
Misrepresent your identity or use false business information.
Use bots or scripts to access the platform.
Engage in activities such as fake orders, chargeback fraud, or phishing.
Post misleading or false product descriptions.
Circumvent or bypass platform systems for commission avoidance.

11. Termination of Accounts

We may suspend or permanently terminate accounts in the following situations:

Repeated violation of platform rules.
Proven fraud or misrepresentation.
Abuse or harassment of buyers or Verified Vendor staff.
Unresolved buyer complaints or refund disputes.
Fake reviews or manipulation of rating systems.

12. Modifications to Terms or Platform

Verified Vendor reserves the right to update or change these Terms at any time.
Changes will be effective once posted to the platform. Continued use of the platform after such updates signifies acceptance of the new Terms.

13. Limitation of Liability & Disclaimer

Verified Vendor operates as a facilitator and marketplace. We are not directly involved in the sale, manufacture, or delivery of goods.
We do not guarantee profit, product performance, or vendor success.
We are not liable for loss of data, earnings, reputation, or any incidental damages.
Platform use is at your own risk and services are provided “as is.”

14. Governing Law

These Terms and any disputes arising from the use of the platform are governed by the laws of the Federal Republic of Nigeria.
